TERMS AND CONDITIONS FOR THE USE OF THE INFRABEL PARTNERS PORTAL WEBSITE

PLEASE READ THESE TERMS AND CONDITIONS FOR THE USE OF THE INFRABEL PARTNERS PORTAL CAREFULLY. USE OF THE PARTNERS PORTAL IMPLIES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS, PLEASE DO NOT USE THE INFRABEL PARTNERS PORTAL.

The information on the www.infrabel.be website is subject to the terms and conditions set out below. These terms and conditions are subject to change. Access to and use of this website implies that the visitor unconditionally accepts this agreement.

These terms and conditions apply to the Company, the Key User and the Users, as defined below. The Company must ensure that its Key User and Users are aware of the applicable terms and conditions, accept them and comply with them.

1. DEFINITIONS

The “Company” is the external entity or firm registering on the Partners Portal in order to access the information and features offered by Infrabel.

A “Key User” is an employee of the Company designated by the Company to create and manage User rights.

A “Partners Portal Username” is the Username assigned to the User, allowing access to the information and features available on the Partners Portal.

The “Partners Portal” is the Infrabel portal, with password-protected access, which enables the Company and its Users to access the information and features offered to the Company by Infrabel. The Partners Portal is the website dedicated for this purpose, as well as all the information it contains.

A “User” is an employee of the Company who has been authorised by the Key User to access and use the information and features available on the Partners Portal. The term “User” includes employees, subcontractors, agents, managers and directors of the Company, as authorised in this context.

3. REGISTRATION AND USE OF THE PARTNERS PORTAL

By registering on and using the Partners Portal, the Company agrees to provide Infrabel with accurate, relevant and complete information and to update such information to ensure its accuracy.

Without prejudice to the other provisions of these terms and conditions, if the Company provides any inaccurate or incomplete information, or Infrabel has reasons to suspect such behaviour, Infrabel reserves the right to revoke the Company's right of access to the Partners Portal immediately.

The Company shall designate a Key User, authorised by the Company to create and manage User rights.

When a User registers on the Partners Portal, a Username and password shall be assigned to each User.

The Company, the Key User and the User shall ensure that only Users who require access to the information and features available on the Partners Portal, as part of their role within the Company, shall be authorised to access and use the Partners Portal. Similarly, the Company and the User shall ensure that the information to which the Company and the Users have access through the Partners Portal is used only in this context and remains confidential.

The Company shall assume sole responsibility for the confidentiality of its Partners Portal Usernames and passwords, as well as the information it accesses (through its Users) via the Partners Portal. The Company declares and guarantees that all technical and organisational measures shall be taken on its behalf, under its sole responsibility, to ensure the confidentiality of its Partners Portal Usernames and passwords, as well as the confidentiality of the information accessed by the Company and Users via the Partners Portal.

The Company shall notify Infrabel immediately of any unauthorised or suspected unauthorised use of its Partners Portal Usernames and passwords, as well as any breach or suspected breach of the security of the Partners Portal or of the confidentiality of information processed in connection with the use of the Partners Portal.

In the same way, the Company shall assume sole responsibility for all activities involved in the use of the Partners Portal.

The Company shall not sell, provide or otherwise authorise access to the Partners Portal to any legal or natural person other than a User.

4. LIABILITY

Via its Partners Portal, lnfrabel wishes to provide you with the best information on Infrabel and its products and services. The Partners Portal is not for advertising purposes.

Nothing on the Partners Portal shall be considered as an offer, a provision of services or the conclusion of a contract. Any information on the Partners Portal, including but not limited to financial information on rates and/or products is provided for information purposes only.

The information contained on the Partners Portal is not intended to serve as a basis for any evaluation of Infrabel. This can be done by referring to legal information channels such as annual reports.

Infrabel shall not be held liable for the unavailability of the Partners Portal, regardless of its nature, or for any damage resulting therefrom. Infrabel does not guarantee the error-free and uninterrupted operation of the Partners Portal, nor the compatibility of the files available on the Partners Portal with the user's infrastructure.

Except in the event of wilful misconduct or fraud on the part of Infrabel, Infrabel shall not be held liable for any damage resulting from the use of the Partners Portal, or for the information provided therein.

Infrabel reserves the right to modify all or part of the information contained on the Partners Portal at any time and without prior notice.

Under no circumstances will Infrabel accept liability, for any reason whatsoever, for any direct or indirect damage resulting from inaccuracies or lack of updates to the Partners Portal, except in the event of wilful misconduct or fraud for which it is liable.

Infrabel uses all reasonable means to control and update the information on the Partners Portal. Consequently, the content of the Partners Portal may be subject to change. However, Infrabel cannot guarantee the adequacy, accuracy, completeness or correctness of the information or that the Partners Portal will always be complete and updated in all respects.

5. INTELLECTUAL PROPERTY

The content of this Partners Portal and its assembly are protected by the intellectual property rights held by Infrabel, its subsidiaries, companies within the group to which Infrabel belongs or third parties. The information on the Partners Portal shall only be used within the framework of the services offered on the Partners Portal; the printing and reproduction of all or part of the Partners Portal are reserved for your strictly personal and non-commercial use and on condition that the legal notices referring to intellectual property appear therein.

Any other use, including but not limited to reproduction, modification, distribution, transmission, republication, display or representation of the content of the Partners Portal is strictly prohibited without the prior written consent of Infrabel.

In some cases, it is permitted to create a link to the Partners Portal. See “How to create a link to the Infrabel Partners Portal”.

However, it is expressly stipulated that the creation of a link does not waive the ban on copying, reproducing or displaying logos, etc. Any breach of the foregoing may result in legal action.

Links to other websites

The Partners Portal contains links to other websites, published by third parties. Infrabel does not necessarily exercise control over these sites and declines all liability for the material contained in any site accessible via a link from its Partners Portal. The creation of such a link, or the acceptance of a link created to the Partners Portal from a third-party website, does not imply that Infrabel approves or recommends the entire content of the external website. Infrabel does not guarantee the accuracy and/or reliability of the information provided by third party sites and makes no judgement about the honesty and/or morality of third parties.

6. PRIVACY PROTECTION

Data controller

The data controller is hereinafter referred to as “Infrabel” or “we”.

Personal data collected / processed by Infrabel

By solely connecting to the Partners Portal, some data concerning you may become known to Infrabel. Infrabel may collect information about your visit, such as: the IP address from which you connect, the address of the website that directed you to our Partners Portal, the date and time of your visit, the pages and applications you visit, the browser you use and your operating system. This data will be used to improve and ensure the proper functioning of the Partners Portal.

In addition, “cookies” are used on the Partners portal, i.e. small files that are temporarily or permanently stored on your computer or device by a website server via the browser.

In your browser, you can deactivate the saving of cookies or delete saved cookies, but this may cause reduced functionality, a slowdown or an inability to use certain parts of the Partners Portal.

We use the following cookies: functional session cookies, required to visit the Partners Portal and use all its features. If cookies are disabled, parts of the Partners Portal can no longer be used correctly.

In addition, Infrabel will also collect and process the following personal data (“personal data”):

  •  surname, first name, organisation, work e-mail address, work telephone and mobile phone number, User language and data relating to the use of the Partners Portal by the User, such as status, registration date, deactivation date and date of last password reset
Purposes and basis of the processing of personal data

Your personal data are collected and processed for the following purposes, within the framework of the execution of a contract or missions of public interest entrusted to Infrabel:

  • The correct functioning of the Partners Portal
  • Management of access to the Partners Portal
  • Management of incidents relating to access to the Partners Portal
Recipients of personal data

Personal data are processed and managed exclusively by the relevant and competent Infrabel staff members, or by Infrabel subcontractors acting in accordance with its instructions, on the one hand for the purposes indicated above and on the other hand for computer security and maintenance.

Your data will not be passed on to third parties under any circumstances without your explicit permission.

Safety

Infrabel implements appropriate technical and organisational measures to prevent any unauthorised access, unlawful processing, loss, alteration, disclosure or unauthorised or accidental destruction of the personal data transmitted, stored or otherwise processed.

These measures are regularly reviewed, and improved if necessary, in order to comply with new legal provisions and/or to introduce new technological improvements.

Retention of personal data

Personal data that we process in accordance with this policy will be retained for a maximum of one year after the User deregisters.

Personal data no longer required to be stored in accordance with legal requirements will be securely deleted.

Your rights

In accordance with the legislation on the processing of personal data, you have the right to request, at any time:

  • access to personal data and receipt of a copy of the personal data concerning you as held by Infrabel;
  • rectification, deletion of personal data;
  • a limitation of the processing concerning you.

Infrabel will endeavour to respond to any request within a reasonable time and, in any event, within the time limits set by the applicable legislation.

In any event, you retain the right to contact the competent supervisory authority and, if necessary, to lodge a complaint with that authority concerning the processing of personal data under this policy.

7. MAKING CONTACT THROUGH THE PARTNERS PORTAL

Infrabel can be contacted via the Partners Portal. If this option is used, the User waives all rights to the content of these e-mails, which may be reproduced, used, distributed, etc. by Infrabel without any restriction and without prior notification.

Infrabel may use the ideas, concepts, techniques, etc. contained in these e-mails for any conceivable purpose without any restriction and without warning to the User, including but not limited to the development, design, marketing and sale of products and services.

Sole liability for any e-mail coming to Infrabel's knowledge or which has been unlawfully placed in its possession lies with the sender, for both the actual dispatch to Infrabel and for any use made thereof by Infrabel.

Any e-mail deemed irrelevant to Infrabel's business may be archived without further action.

8. HOW TO CREATE A LINK TO THE INFRABEL PARTNERS PORTAL?

Any link to the Infrabel Partners Portal shall comply with the following terms and conditions:

  • the link shall be created to the homepage, https://partners.infrabel.be. If you wish to create a link to any other page, you must explicitly mention this;
  • the link shall be created in a complete window, therefore not in frames from other sites nor in pop-ups (windows without navigation buttons);
  • the link shall not be created from a site whose objective and image are contrary to public order or morality or, in general, whose objective and image do not correspond to those of Infrabel;
  • unless Infrabel has given prior written authorisation, the link may not entail any payment on the part of the user.

To create a link, follow the procedure below:

  • Make an authorisation request by e-mail to Infrabel, mentioning the name of the site where the link will appear, the person responsible for this site and the purpose of creating the link;
  • Expressly declare in the authorisation request that you unconditionally accept and will comply with the terms and conditions set by Infrabel for the creation of a link;
  • After examining your request, Infrabel will notify you of its approval or rejection by e-mail, prior to the creation of the link.

Even in the event of approval of the creation of a link, Infrabel may at any time ban this link without obligation to justify its decision.

Any link that does not in any form whatsoever comply with the foregoing, in particular by failure to comply with these terms and conditions, the procedure or because Infrabel has expressly banned a link, may give rise to legal proceedings, without prejudice to Infrabel's right to claim compensation.

9. WITHDRAWAL OF ACCESS RIGHTS TO THE PARTNERS PORTAL

If the Company, the Key User or the User do not comply with the provisions of these terms and conditions, or in the event of unauthorised use or suspected unauthorised use of Partners Portal Usernames and passwords, as well as any breach or suspected breach of the security of the Partners Portal or the confidentiality of information processed in connection with the use of the Partners Portal, Infrabel may, at its sole discretion, without notice or compensation, revoke the Partners Portal access rights of the Company or one of its Users.

10. GOVERNING LAW AND COMPETENT JURISDICTION

These terms and conditions, as well as any dispute arising from the use of the Partners Portal, shall be exclusively governed by Belgian law. Unless otherwise required, the Courts of Brussels shall have exclusive jurisdiction to hear any dispute relating to the validity, interpretation or execution of these terms and conditions or relating to the use of the Partners Portal.
